Terms and Conditions for LLC With Me Filing Services Last Updated: February 10, 2025 Agreement to Terms By engaging LLC With Me, LLC ("the Company") for LLC formation services, you ("the Client") agree to these terms and conditions. These terms govern all services provided by phone, email, or through the Website. LLC With Me, LLC specializes in assisting small business owners with the efficient formation and management of their LLCs. Service Description LLC With Me, LLC provides the following LLC formation and management services: Free LLC Filing Package ($0 + State Fees): Includes filing the Articles of Organization with the state. Perfect for clients who only need the basics to get their LLC started. Automated Annual Filing Service ($99/year + State Fees) is required for all Free LLC clients. This ensures that annual reports are filed automatically on or before March 31st depending on filing time. Clients will be billed annually unless canceled by January 1st. Base Package ($799): Includes Articles of Organization Filing, EIN Registration, Operating Agreement Template, Direct Response Marketing Starter Guide, and First 5 Leads Generated for Free. Premium Package ($999): Includes everything in the Base Package, Expedited LLC Filing (1–5 business days; expedited state fees included), Custom Lead Generation Strategy, One-on-One Business Growth Consultation (60 minutes), and Priority Support. Add-Ons: Name Reservation ($50) + State Fees: Assistance in reserving an LLC name with the state. Change of Address Filing ($75) + State Fees: Filing documentation to update your LLC’s address with the state. Automated Annual Filing Service ($125/year + State Fees): Filing annual reports and providing automated reminders for compliance deadlines. No Legal or Financial Advice LLC With Me, LLC provides administrative assistance only and does not offer legal, tax, or financial advice. Clients are encouraged to consult licensed attorneys or financial advisors for legal, tax, or financial matters related to their LLC. Payment Terms Service Fees: Free LLC Filing Package: $0 + State Fees. (Includes required $99/year Automated Annual Filing Service.) Base Package: $799. Premium Package: $999. Add-Ons: Name Reservation: $50 + State Fees. Change of Address Filing: $75 + State Fees. Automated Annual Filing Service: $125/year + State Fees. Payment Schedule Full payment is required upon signing this agreement. The Company will not commence work until payment is received in full. Refund Policy Refunds are available only if services have not started. Clients may request a refund within seven (7) days of signing this agreement, provided no document preparation or consultations have begun. Once services commence, fees are non-refundable. State Fees State filing fees for LLC formation, name reservation, address changes, and annual filings are not included in the service prices (except for expedited filing in the Premium Package) and remain the Client’s responsibility. Client Responsibilities The Client agrees to: Provide accurate and complete information required for LLC formation and related services. Review all documents for accuracy prior to submission. Pay all applicable state fees and address any penalties or delays caused by errors or omissions in the provided information. Opt-In for Updates By signing this agreement, the Client agrees to receive updates via text messages regarding their LLC formation process, compliance alerts, and related notifications. Clients can opt out at any time by replying "STOP." Standard messaging rates may apply. Do Not Call List Compliance By signing this agreement, the Client provides explicit consent to be contacted by LLC With Me, LLC for LLC formation and management services. The Company complies with the National Do Not Call Registry and does not contact individuals without prior consent. Limitation of Liability LLC With Me, LLC is not liable for indirect, incidental, or consequential damages resulting from the use of its services. The Company’s total liability under this agreement is limited to the fees paid by the Client. Delays caused by third-party agencies, such as state agencies or the IRS, are beyond the Company’s control and liability. Termination of Services Either party may terminate this agreement at any time by providing written notice. If services have already commenced at the time of termination, no refunds will be issued. Privacy Policy LLC With Me, LLC is committed to protecting the Client’s privacy. Personal information provided by the Client will be used solely for LLC formation and management services and will not be shared with third parties without consent, except as required by law. Governing Law and Dispute Resolution This agreement is governed by the laws of the State of Connecticut. Any disputes shall first be attempted to be resolved through arbitration in Connecticut in accordance with the rules of the American Arbitration Association. If arbitration is unsuccessful, disputes may be brought before the courts of Connecticut. Both parties waive any rights to a jury trial in connection with disputes arising under this agreement. Entire Agreement This document constitutes the entire agreement between the Client and LLC With Me, LLC concerning LLC filing and management services. Changes or amendments to this agreement must be made in writing and signed by both parties.
